Permission to Promote the Merchant’s Lowest Price Commitment

This Price Promise Addendum (“Price Promise Addendum”, “Pledge”) extend the Merchant Services Agreement (“MSA) and are in addition to the terms of the MSA which also apply to the  services below, save where varied by these terms.

Terms defined in the MSA shall have the same meaning in these terms.

1. Purpose

This Price Promise Addendum grants us permission to communicate your Price Promise through our platform, marketing materials, and third-party channels. You may be promoted as a participating business and displayed various Price Promise badges we create on your app, website, Google Business Profile, and in customer-facing campaigns.

 

2. What the Price Promise Means

​

You personally offer a Price Promise to customers through your Order Digital app and website.

​

• Your app/website prices are equal to or lower than your in-store prices.

• Prices on third-party platforms (e.g. Just Eat, Uber Eats) include full commission and are more expensive than your direct prices.

• No discount or promotion elsewhere will make your food cheaper than on your app or website provided by us.

• You will refund the full amount paid if a customer finds the same item cheaper elsewhere at the time of purchase.

• Product names and descriptions are consistent across platforms to enable fair comparison.

• You will regularly review your pricing to ensure compliance and notify Order Digital of any changes.

• You will not instruct anyone to raise your app or website prices above those listed elsewhere.

• You authorise Order Digital to check public listings to verify pricing.

  You agree to be bound by the Price Promise terms, which will be included in the customer terms policy hosted at your website (e.g. yourwebsite.com/terms).

  You will display the Price Promise badge online and in-store.

• You will review and approve any marketing materials referencing your Price Promise and flag any inaccuracies immediately.

3. What We’ll Do

If accepted into the scheme, we may:
 

• Feature your commitment in marketing campaigns, social media, and customer-facing materials
   

• Highlight the benefits of ordering direct from your business
   

4. Breach of Terms

If you fail to meet the Price Promise criteria:

• You will be removed from the scheme and associated marketing
   

• Standard platform commission and pricing terms will resume
   

• You must immediately stop using the Price Promise badge and any related materials
   

• Order Digital’s decision on compliance and removal is final
   

5. Ending the Pledge

Either party can end this Price Promise Addendum with 7 days’ notice. On termination:

• You must remove all Price Promise branding and references from your business
   

• If Order Digital is required to remove materials from your app or website, an admin and content removal fee may apply at our standard support rate
   

6. Responsibility and Legal Liability

• You are fully responsible for setting, maintaining, and communicating your own pricing
   

• You agree to indemnify and hold harmless Order Digital against any and all claims, disputes, losses, or liabilities arising from your pricing, your participation in the Price Promise scheme, or any related marketing
   

• You accept that this Price Promise is a marketing statement, not a legally binding customer guarantee
   

• Order Digital does not manage or enforce your pricing and accepts no liability for any issue, claim, or complaint related to pricing differences across channels
   

 

7. Acceptance

To accept this Price Promise Addendum, you may reply “I Accept” by email or complete the online form provided.
